installing under win2k

I'm trying to install ESS-5.1.16 under Win2k and Emacs 20.6 for use
with R 1.1.1.

I've pondered the readme files, ess-site.el, and the various
makefiles, as well as an Emacs and Perl books, and came to the
conclusion that I didn't need to edit the directory info in these
files (thought I'm not clear about SHELL=/bin/sh in Makeconf, I have B
Ripley's unix tools in a d:\unix tools directory) and could run

as per the installation instructions. I get the error message below
that looks a problem with the compiled lisp directory(?). Obviously
I'm pretty low on the learning curve for these unix tools so any help
is much apprecpriated.

make[1]: Entering directory `D:/emacs-20.6/site-lisp/ess-5.1.16/lisp'
emacs -batch --no-site-file --no-init-file -l ./ess-comp.el -f
e ess-vars.el
process_begin: CreateProcess((null),
emacs -batch --no-site-file --no-init-file
-l ./ess-comp.el -f batch-byte-compile ess-vars.el, ...) failed.
